1. Acceptance of Terms

By accessing or using the SubSmack platform, website, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and SubSmack.

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page and notify you via email or through the Service. Your continued use of the Service after any such changes constitutes your acceptance of the revised Terms.

2. Description of Service

SubSmack is a subscription management platform that helps users track, manage, and optimize their recurring subscriptions and memberships. The Service includes features such as subscription auto-discovery, spending analytics, renewal alerts, cancellation assistance, and portfolio management tools.

SubSmack is provided on an "as is" and "as available" basis. We may update, modify, or discontinue certain features of the Service at any time without prior notice. We do not guarantee that the Service will be uninterrupted, error-free, or that any identified defects will be corrected.

3. User Accounts

To use most features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding the credentials used to access your account and for all activities that occur under your account.

You must be at least 18 years of age to create an account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. SubSmack will not be liable for any loss or damage arising from your failure to maintain the confidentiality of your account credentials.

4. Use License

Subject to these Terms, SubSmack grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your personal, non-commercial subscription management purposes. You may use the Service to track your own subscriptions, view analytics, and manage your account settings as intended by the platform's features.

You may not: (a) copy, modify, or distribute the Service or any content therein; (b) reverse engineer, decompile, or disassemble any part of the Service; (c) use the Service for any unlawful purpose or in violation of any applicable laws; (d) use automated tools, bots, or scrapers to access the Service; (e) attempt to gain unauthorized access to other users' accounts or SubSmack's systems; or (f) resell, sublicense, or commercially exploit the Service without our prior written consent.

5. Payment Terms

SubSmack offers both free and paid subscription plans. Paid plans are billed on a monthly or annual basis, depending on the plan you select. All fees are quoted in US dollars and are non-refundable except as expressly stated in these Terms. You authorize SubSmack to charge the payment method on file for all applicable fees on a recurring basis until you cancel your subscription.

New paid accounts are eligible for a 14-day free trial. You will not be charged during the trial period, and you may cancel at any time before the trial ends without incurring any charges. If you cancel a paid subscription, you will continue to have access to paid features until the end of your current billing period. Refund requests for annual plans may be considered on a case-by-case basis within 30 days of purchase by contacting our support team.

6. Intellectual Property

The Service and all of its contents, including but not limited to text, graphics, logos, icons, images, software, and the compilation thereof, are the exclusive property of SubSmack or its licensors and are protected by copyright, trademark, and other intellectual property laws. The SubSmack name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of SubSmack.

You retain ownership of any data you provide to the Service, including subscription information and account details. By using the Service, you grant SubSmack a limited license to use, process, and store your data solely for the purpose of providing and improving the Service. We will never sell your personal data to third parties.

7. Limitation of Liability

To the fullest extent permitted by applicable law, SubSmack and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the Service, even if SubSmack has been advised of the possibility of such damages.

In no event shall SubSmack's total aggregate liability to you for all claims arising out of or relating to the Service exceed the amount you have paid to SubSmack in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater. This limitation of liability applies regardless of the form of action, whether in contract, tort, strict liability, or otherwise.

8. Termination

You may terminate your account at any time by contacting us or using the account deletion feature within the Service. Upon termination, your right to access and use the Service will immediately cease. We will delete your account data in accordance with our Privacy Policy, typically within 30 days of account closure.

SubSmack reserves the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users or the Service, or is otherwise objectionable. In the event of termination for cause, you will not be entitled to any refund of fees paid.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware.

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
